Confirmed pricing is only valid when stated in a formal written quotation issued by VST Lighting.

Inquiry & Communication

4.1 Inquiries Are Not Purchase Orders

Submitting an inquiry through this website, or engaging in preliminary email or messaging communication with VST Lighting, does not constitute a purchase order, contract, or any form of legally binding commercial commitment on either party. No commercial obligation arises until a written purchase order has been issued by the buyer and formally accepted in writing by VST Lighting.

4.2 Response Time and Availability

VST Lighting endeavors to respond to all business inquiries within 1-2 business days during regular working hours (Monday to Friday, China Standard Time). Response times may be extended during major holidays, peak production periods, or due to high inquiry volume. We do not guarantee real-time responses to any inquiry submitted through this website.

4.3 Accuracy of Inquiry Information

To receive accurate quotations and technical recommendations, you are responsible for providing complete and correct information in your inquiry, including application details, product requirements, quantity, delivery destination, and any applicable standards or certifications. VST Lighting's commercial and technical responses are based on the information provided; inaccurate or incomplete submissions may result in unsuitable recommendations or delayed processing.

4.4 Quotation Validity

Unless otherwise stated in writing, quotations issued by VST Lighting are valid for thirty (30) calendar days from the date of issue. After this period, prices, lead times, and availability may be subject to revision. Quotation acceptance must be communicated in writing prior to expiry.

4.5 Confidential Inquiry Materials

If you submit technical drawings, design files, product concepts, or other proprietary materials as part of an inquiry for OEM customization, VST Lighting will treat such materials as confidential and will not share them with unrelated third parties. However, a formal Non-Disclosure Agreement (NDA) is recommended for sensitive projects and can be arranged upon request prior to detailed technical disclosure.

Intellectual Property

5.1 VST Lighting's Intellectual Property

All content on this website -- including but not limited to the VST Lighting name, logo, product names, product photographs, technical data sheets, application drawings, written descriptions, design concepts, and structural organization -- is the intellectual property of Shenzhen VST Lighting Co., Ltd. or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

5.2 Restrictions on Use

No content from this website may be:

  • Reproduced, modified, or distributed for any commercial purpose without express prior written consent from VST Lighting.
  • Used to represent or misrepresent any product as being certified, endorsed, or manufactured by VST Lighting without authorization.
  • Incorporated into any competing product catalog, marketing material, or third-party platform without a formal licensing agreement.

5.3 Customer-Provided Materials

When you share design drawings, product concepts, brand assets, or technical specifications with VST Lighting for the purpose of developing customized LED products or OEM components, you confirm that you hold the necessary rights to such materials and grant VST Lighting a limited, non-exclusive right to use them solely for the purpose of fulfilling your requested development and production work. VST Lighting will not use customer-provided proprietary materials for any other commercial purpose.

5.4 Custom Development Ownership

Ownership of intellectual property created during custom product development engagements -- including tooling, mold designs, and product-specific configurations -- shall be determined by the terms of the applicable written agreement between VST Lighting and the customer. In the absence of a signed agreement addressing IP ownership, all tooling and design assets developed and paid for by VST Lighting remain the property of VST Lighting, while customer-provided design inputs remain the property of the customer.

Section 06

Cooperation Conditions

6.1 Binding Agreements

All commercial cooperation between VST Lighting and any customer or business partner is subject to a formal written agreement, which may take the form of a purchase order accepted by VST Lighting, a sales contract, an OEM development agreement, or a component supply agreement. Verbal commitments, email discussions, and website-based communications do not constitute binding contractual obligations unless confirmed in a signed or formally accepted written document.

6.2 Minimum Order and Sampling Requirements

Minimum order quantities (MOQ), sample policies, and associated fees vary by product type, level of customization, and market conditions. Specific MOQ and sample terms are communicated at the quotation stage and are incorporated into the formal purchase agreement. VST Lighting reserves the right to decline orders that do not meet minimum commercial thresholds.

6.3 Payment Terms

Payment terms are defined on a per-order or per-contract basis. Standard terms typically require a deposit prior to production commencement and the balance prior to or upon shipment, unless alternative arrangements have been formally agreed in writing. VST Lighting reserves the right to halt production or withhold delivery in the event of payment default.

6.4 Quality Disputes and Claims

Any quality claims or product defect reports must be submitted to VST Lighting in writing within the timeframe specified in the applicable purchase agreement, accompanied by photographic evidence, batch/lot identification, and a description of the issue. VST Lighting will investigate and respond to quality claims in accordance with the agreed warranty terms. Claims submitted outside the agreed timeframe or without adequate documentation may not be accepted.

6.5 Termination of Cooperation

Either party may terminate a cooperation arrangement in accordance with the terms of the applicable written agreement. Termination of ongoing projects involving committed tooling investment, material procurement, or production scheduling may be subject to cost recovery provisions as defined in the signed contract.

6.6 Exclusivity

VST Lighting does not provide exclusivity of supply or market territory to any customer unless such exclusivity is expressly documented in a separate signed agreement with clearly defined scope, duration, volume commitments, and geographic coverage.

Governing Law & Dispute Resolution

7.1 Governing Law

These Terms of Service and any disputes arising out of your use of this website shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

7.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or their breach, the parties shall first attempt to resolve the matter through good-faith negotiation. If negotiation is unsuccessful within thirty (30) days, the dispute shall be submitted to the competent courts in Shenzhen, China, unless otherwise specified in a written cooperation agreement between the parties.

7.3 Amendments to These Terms

VST Lighting reserves the right to amend, update, or revise these Terms at any time without prior notice. The most current version of these Terms will be published on this website. Continued use of this website after any modification constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.

7.4 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
